Terms of Service

By accessing or using The Agent Studio platform and services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

If you do not agree to these terms, do not use our Services.

The Agent Studio provides AI-powered workflow automation software designed for operations teams in manufacturing, distribution, logistics, and wholesale industries. The Services include:

Agent configuration and deployment tools. Integration connectors for ERP systems including SAP, Oracle, Microsoft Dynamics, NetSuite, and others. Monitoring dashboards, audit logs, and exception escalation workflows. Onboarding, customer success, and technical support.

We reserve the right to modify, suspend, or discontinue any feature of the Services with reasonable notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Provide accurate and complete information when creating your account. Notify us immediately of any unauthorised access or security breach. Not share account credentials with individuals outside your organisation. Use the Services in compliance with all applicable laws and regulations.

We reserve the right to suspend or terminate accounts that violate these terms.

You may not use the Services to:

Process data you do not have the right to process. Violate any applicable law or regulation. Attempt to gain unauthorised access to our systems or other customers' data. Reverse engineer, decompile, or disassemble the software. Use the Services in a way that could damage, disable, or impair our infrastructure. Resell or sublicense the Services without our written consent.

We may investigate and take action, including account suspension, in response to suspected violations.

Your operational data — orders, invoices, ERP records, and related information processed through the Services — remains your property at all times. We process it solely to provide the Services you have contracted for.

Both parties agree to keep confidential any non-public information disclosed in connection with the Services, including business processes, configurations, and pricing. This obligation survives termination.

The Agent Studio retains all rights to the platform, software, underlying models, and documentation. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

You retain all rights to your operational data and any configurations, rules, or workflows you create using the platform. You grant us a limited licence to process your data solely for the purpose of providing the Services.

We target 99.9% uptime for the platform, excluding scheduled maintenance and events outside our reasonable control. Scheduled maintenance will be communicated at least 48 hours in advance where possible.

In the event of a service disruption, we will communicate status updates through our status page and, for significant incidents, by email to your account administrator.

Service level commitments specific to your plan are set out in your service agreement.

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at sign-up. All fees are non-refundable except as required by law or as explicitly stated in your service agreement.

Failure to pay may result in suspension of your account after a grace period of 10 days following the due date. We will provide notice before suspension.

Enterprise pricing and custom payment terms are governed by your individually negotiated service agreement.

To the maximum extent permitted by applicable law, The Agent Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total liability to you for any claim arising under these Terms shall not exceed the fees paid by you to us in the three months preceding the claim.

Nothing in these Terms excludes liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

You may terminate your account at any time by contacting us at hello@theagentstudio.ai. Termination takes effect at the end of your current billing period.

We may terminate your account immediately if you materially breach these Terms and fail to remedy the breach within 10 days of written notice.

Upon termination, we will provide you with a reasonable opportunity to export your data before deletion. Data export requests must be made within 30 days of termination.

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date at the top of this page. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

For significant changes, we will provide at least 30 days' notice before they take effect.

These Terms are governed by and construed in accordance with applicable law. Any dispute arising under these Terms that cannot be resolved informally will be subject to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
